CHAPTER 1072.
(House Bill 862)
AN ACT to add a new section to Article 16 of the Annotated
Code of Maryland (1939 Edition), title "Chancery", sub-title
"Pleadings, Practice and Process", said new section to be
known as Section 240A and to follow immediately after
Section 240 of said Article, relating to stockholders' suits.
WHEREAS, for a long period of time any stockholder bringing
suit in the Federal courts in the right of a corporation has
been required to establish that he was a stockholder at the
time of the transaction of which he complains, or that his
share or shares of stock thereafter devolve on him by opera-
tion of law; and
WHEREAS, it is desirable to incorporate into the law of this
State the aforesaid rule which has long obtained in the Fed-
eral courts; therefore
SECTION 1. Be it enacted by the General Assembly of Mary-
land, That a new section be and it is hereby added to Article
16 of the Annotated Code of Maryland (1939 Edition), title
"Chancery", sub-title, "Pleadings, Practice and Process", said
new section to be known as Section 240A and to follow imme-
diately after Section 240 of said Article, and 'to read as
follows:
240A. In any action brought by a stockholder in the right
of a foreign or domestic corporation, it must be made to
appear that the plaintiff was a stockholder at the time of the
transaction of which he complains, or that his stock thereafter
devolved upon him by operation of law.
SEC. 2. And be it further enacted, That this Act shall take
effect June 1, 1945.
